AMERICAN INSTITUTE OF CHEMICAL ENGINEERS

BY-LAWS

Article I

Name, Location and Object

Section 1. The name of this organization shall be The Idaho Section of the American Institute of Chemical Engineers.

Section 2. The objects of the Section shall be: (1) the advancement of the profession of chemical engineering and the maintenance of high professional standards among its Members; (2) the formation of closer professional and personal relations among the Members; (3) the furtherance of the aims and purposes of the American Institute of Chemical Engineers; and (4) the promotion of cordial and helpful relations with the faculties and students of nearby institutions giving courses in chemical engineering.

Article II

Obligations to the Institute

Section 1. The activities of the Section and its Members are to be guided by the provisions of the Constitution and by the Code of Ethics of the American Institute of Chemical Engineers.

Section 2. The Section shall have no authority to act for or in the name of the American Institute of Chemical Engineers and shall not incur any financial obligations in the name of the Institute.

Section 3. Upon the dissolution of the Idaho Section, any assets of the Idaho Section remaining thereafter shall be conveyed to such organization then existent, within or without the territory of the Section, dedicated to the perpetuation of objects similar to those of the American Institute of Chemical Engineers, or to the American Institute of Chemical Engineers so long as whichever organization is selected by the governing body of the Section at the time of dissolution shall be exempt under Section 501(c) (3) of the Internal Revenue Code of 1954 as amended or under such successor provision of the Code as may be in effect at the time of the Section's dissolution.

Article III

Membership

Section 1. Membership in the Idaho Section of the A.I.Ch.E. shall be limited to Members and Associate, Affiliate or Student Members of the American Institute of Chemical Engineers. Nonmember chemical engineers may become Local members of the Idaho Section for a period not to exceed two years. During this period, it is expected that Local Members will apply for one of the grades of membership in the American Institute of Chemical Engineers. Nothing in this bylaw shall be construed to prevent Members from bringing nonmember guests to meetings of the Idaho Section. Student Members and Local Members may not hold office in the Idaho Section.

Section 2. Any member of the American Institute of Chemican Engineers residing and engaged outside of Idaho who desires to affiliate with the Section shall be eligible for membership and may become a Member of the Section by application in writing to its Secretary.

Section 3.

a. Anyone actively engaged in the chemical engineering work considered for a local membership in the Idaho Section. To be admitted to local membership each applicant must receive affirmative vote of two-thirds of the Members present at meeting of the Section.

b. A Local Member has all the privileges of Members except holding office and voting for officers or on business of the Section. This is interpreted as allowing a Local Member to serve on committees but not to act as chairman.

c. A local membership does not by implication or otherwise guarantee eventual national membership in the A.I.Ch.E.

Article IV

Dues

Section 1. The annual dues for Members and Local Members of the Section shall be determined by the Executive Committee of the Section. The Section membership shall be notified of any changes in dues for the succeeding year at or prior to the last Section meeting of the fiscal year. Annual dues must be paid in the first three months of the fiscal year for a Member or Local Member to remain in good standing. All other regulations concerning the payment of dues shall be made by the Executive Committee.

Section 2. Members or Local Members joining the Section after the midpoint of the fiscal year shall pay one-half the annual dues, provided that they join the Section within three months (excluding June, July, and August) of the start of permanent employment in the area served by the Section. Otherwise they shall pay full annual dues.

Article V

Officers

Section 1. The officers of the Section shall be a Chairman, a Vice-Chairman, a Secretary and a Treasurer, all of whom shall be Members of the Section and Members of the A.I.Ch.E., but regardless of grade in the A.I.Ch.E. These officers, together with the retiring Chairman and two other members of the Section shall constitute the Executive Committee. The retiring Chairman of the Section shall automatically become a member of the Executive Committee for one year.

Section 2. The Vice-Chairman shall assume the duties of the Chairman in case of the Chairman's absence.

Section 3. The Secretary shall keep a record of the proceedings of the Section and of the Executive Committee. He shall, under direction of the Chairman, issue notices of meetings to the members. Immediately after the Annual meeting, he shall make a report to the Secretary of the American Institute of Chemical Engineers, outlining the activities of the Section during the year. The headquarters of the Section shall be the address of the current secretary.

Section 2. The Treasurer shall assume the responsibility for collecting the Idaho Section dues from all the members. He shall make disbursement of funds as authorized by the Executive Committee. At the first meeting of each fiscal year, which shall be the same as the American Institute of Chemical Engineers, he shall present a financial report. He will notify Section Members 15 days prior to the time dues are payable and notify member when dues are 60 days in arrear.

Article VI

Committees

Section 1. There shall be an Executive Committee Consisting of the officers of the Section, the retiring Chairman, and two of the members to be elected as hereinafter provided. This Committee shall meet at the call of the Chairman of the Section, who shall serve also as Chairman of the Executive Committee. The Executive Committee shall be charged with the business of the Section. The minutes of its meetings shall be read with the minutes of the Section at the regular meetings of the Section.

Section 2. There shall be a Program Committee of which the Vice-Chairman of the Section shall serve as Chairman.

Section 3. There shall be a Nominating Committee consisting of a Nominating Committee Chairman and two members, all of whom are to be appointed yearly by the Chairman of the Idaho Section. The duties of this committee are defined in Article VIII.

Section 4. Such other committees as may be required shall be appointed by the Chairman with the approval of the Executive Committee.

Article VII

Meetings

Section 1. The Chairman, or in his absence the Vice-Chairman, or in his absence the Secretary, or in his absence the Treasurer, shall preside at the meetings of. the Section.

Section 2. There shall be at least six meetings of the Section each year one of which shall be the Annual Meeting, to be held in December (unless another time is more applicable to the Section). The Executive Committee shall determine the date and place of meetings.

Section 3. The Secretary shall send a notice of the meetings to all members at least one week in advance of such meetings

Section 4. A quorum shall consist of 25 per cent of the enrolled members of the Section.

Article VIII

Elections

Section 1. Election of officers and members of the Executive Committee shall be supervised by the Nominating Committee.

Section 2. It shall be the duty of the Nominating Committee to nominate Members, distribute, collect and count election ballots. The nominations of this committee shall consist of at least one nomination, the present service Vice-Chairman, for the office of Chairman and two nominations for all other offices of the Section. No candidate shall be nominated for an office without his consent. The Nominating Committee will verify the national membership of each nominee.

Section 3. The Nominating Committee shall report their nominations at the last meeting preceeding the election of officers. Immediately following the report of the Nominating Committee, the order of business shall be additional nominations from the floor. Nominations from the floor are to be accepted with the understanding that the knowledge and acquiescence of the nominee to accept the nomination have been ascertained. No member shall be a candidate for election to more than one office on the same ballot.

Section 4. Election shall be by letter ballot. Balloting shall be completed before the December meeting.

Section 5. The term of office for Officers and Members of the Executive Committee shall be for one year. Should a vacancy occur in any office, the Executive Committee shall appoint some member of the Section to fill the unexpired term.

Section 6. Should a tie occur in an election, the retiring Executive Committee shall decide who shall hold the office for the next yearly term.

Article IX

Order of Business

Section 1. The meetings of the Section shall be conducted in the order prescribed by the Executive Committee.

Article X

Amendments

Section 1. These By-Laws may be amended at any meeting by an affirmative vote of not less than two-thirds of the members of the Section (or by letter ballot under regulations approved by the Executive Committee).

 

 

 

AMENDMENTS TO THE IDAHO SECTION BY-LAWS

Amendment 1. The headquarters of this Society shall be the address of the current secretary.

Amendment 2. Article III, Section 30 shall be amended to restrict affiliate members from voting for officers or on business of the Institute.

Amendment 3. Article I, Section 1 shall be amended to read, "'The name of this organization shall be 'The Idaho Chemical Engineering Society.' (When affiliation with the American Institute of Chemical Engineers is accomplished the words, 'Chemical Engineering Society' shall be replaced by the words, 'Section, American Institute of Chemical Engineers; i.e., Section, AIChE' in the name. Elsewhere in these by-laws the word 'Society' shall be replaced by the word 'Section'.)"

Amendment 4 Article IV, Section 1, shall be amended to read, "The annual dues for members and Affiliate Members of the Section shall be determined by the Executive Committee of the Section. The Section membership shall be notified of any changes in dues for the succeeding year at or prior to the last Section meeting of the fiscal year. Otherwise they shall pay full annual dues.

In the present By-laws, Article IX, Section 1, reads "The order of the meetings of the Section shall be transacted as follows: Speaker, Reading of the Minutes, Reports of Officers and Committees, Unfinished Business, New Business, Election of Officers (at Annual Meeting), Adjournment."

Amendment 5. Articel IX, Section 1, shall be amended to read, "The meetings of the Section shall be conducted in the order prescribed by the Executive Committee."

Amendment 6. Article VIII, Section 2 is changed to read as follows:

Amendment 7. Change all affiliate member or membership notations to read "local member or membership."

Amendment 8. Article III Membership Section 1 is changed to read as follows:
